TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using the VORENTH SYSTEMS platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, you must immediately cease accessing the system.

2. Description of Service

VORENTH SYSTEMS provides a next-generation Enterprise Resource Planning (ERP) architecture. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and authenticated sessions. You agree to accept responsibility for all activities that occur under your account. VORENTH SYSTEMS utilizes third-party identity providers (including Clerk and Google) and cannot be held liable for breaches resulting from compromised third-party credentials.

4. Acceptable Use and User Conduct

The Service is provided exclusively for institutional resource management. You strictly agree not to:

• Use the Service for any unlawful purpose or to solicit others to perform illegal acts.
• Attempt to reverse-engineer, decompile, hack, or bypass the platform's security architecture, authentication mechanisms, or database row-level security.
• Upload or transmit viruses, malware, or any other type of malicious code.
• Spam, disrupt, or execute denial-of-service attacks against the VORENTH network.

5. Right to Terminate

VORENTH SYSTEMS reserves the absolute right to suspend, terminate, or delete any user account, institutional workspace, or access to the Service at our sole discretion, at any time, for any reason whatsoever, without prior notice or liability.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of VORENTH SYSTEMS and its licensors. Our trademarks, logos, and trade dress may not be used in connection with any product or service without our prior written consent.

7. "As Is" Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VORENTH SYSTEMS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

8. Limitation of Liability

IN NO EVENT SHALL VORENTH SYSTEMS, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which VORENTH SYSTEMS operates, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Continued use of the platform after any changes constitutes your binding acceptance of the new Terms of Service.
